Terms of Service

Welcome to Valoryn Digital ("Company," "We," "Us," or "Our"). By purchasing services from Valoryn Digital, the Client ("You" or "Client") agrees to the following Terms of Service.

1. Services Provided

Valoryn Digital provides:

  • Website creation
  • Website hosting
  • Website maintenance
  • Technical support
  • Content updates
  • Search engine optimization (SEO) setup

All services provided are subject to these Terms.

Scope of Work

  • One website and domain per subscription. Each subscription includes the creation and management of one website with one domain.
  • Timeline: Website building may take longer than expected, up to 14 days from project start.
  • Customization: Websites are customizable, but Valoryn Digital holds the right to deny certain customization requests that fall outside our standard capabilities or violate our policies.

2. Payments & Fees

Payment terms are as follows:

  • Monthly Fee: $97 per month, automatically billed monthly on the same day as the original purchase date. Includes all website hosting, maintenance, updates, and support.
  • 30-Day Lead Guarantee: If the Client does not receive increased leads within the first 30 days of service, they may request a full refund of the first month's payment. To qualify, the Client must cancel services and request a refund within 30 days of the initial payment date. Upon refund, all services will be cancelled immediately.
  • Late Payments: Websites may be suspended for failure to pay after 14 days past due. Service will be restored upon payment of outstanding balance.
  • Refunds After 30 Days: Monthly fees paid after the initial 30-day period are non-refundable. The Client may cancel at any time, but no refunds will be issued for payments made beyond the first 30 days.

3. Client Responsibilities

The Client agrees to:

  • Provide accurate business information and content
  • Approve or request edits in a timely manner
  • Pay invoices on time
  • Maintain communication during the build process

Valoryn Digital is not responsible for delays caused by missing Client content.

4. Domain Registration & Ownership

If Valoryn Digital registers a domain on behalf of the Client:

  • The domain is held in Valoryn Digital's registrar account for administrative convenience only.
  • The Client retains full ownership rights to domains containing their business name, trademark, or requested branding.
  • Upon written request, Valoryn Digital will transfer the domain to the Client within 7 business days.
  • The Client is responsible for ongoing registrar renewal fees.
  • Valoryn Digital may not withhold domain transfer for non-payment of other unrelated fees.
  • Upon domain transfer: Valoryn Digital does not continue providing website hosting, maintenance, or any other services for that domain. The Client assumes full responsibility for all website services after domain transfer.

5. Website Hosting

  • Hosting is provided through third-party hosting partners.
  • Valoryn Digital is not responsible for outages caused by hosting providers, DNS propagation, maintenance, or internet issues.

6. Content Ownership

Clients own:

  • All text and business information they provide
  • Their logo(s), trademark(s), and branding

Valoryn Digital owns:

  • Custom design assets created by Valoryn Digital
  • Proprietary templates, coding, and frameworks
  • Any software used to build or maintain the website

Unless otherwise agreed in writing, Valoryn Digital grants the Client a license to use these assets while they are a paying customer.

7. Cancellation Policy

Clients may cancel service at any time with written notice.

Upon cancellation:

  • All monthly hosting/maintenance services end
  • The Client may request a domain transfer
  • Website hosting will be discontinued after 14 days

8. Limitation of Liability

Valoryn Digital is not liable for:

  • Lost profits
  • Lost sales
  • Business interruption
  • SEO ranking changes
  • Loss of domain due to client non-renewal
  • Issues caused by third-party services

Maximum liability shall not exceed the amount paid by the Client in the last 30 days.

9. Indemnification

Client agrees to hold Valoryn Digital harmless from any claims arising out of:

  • Client-provided content
  • Trademark-infringing names or domains requested by Client
  • Misuse of website or domain
  • Violation of laws by Client

10. Governing Law

These Terms are governed by the laws of the State of Texas.
